We are a contracting (construction) company. We are looking to create a separate entity for employee's and business vehicles to limit liability. Our current entity would then subcontract all of our work to the new entity with the vehicles and employee's. We want to make sure that the new entity is set up and ran in such a way that liability is truly limited. We are in Florida. Knowledge of Florida construction is required. Below are the points I see that need to be addressed.
In Florida, are we allowed to subcontract to unlicensed contractors or does the new entity need a contractors license? If we did license the new entity would that make the corporate veil easier to pierce (same license holder qualifying 2 businesses that subcontract work between them)
Scheduling -- I know when working with a person as a subcontractor we cannot dictate their hours. Does this apply when subcontracting to a company?
