I'm forming a new LLC and need some tax and business advice. The company will not have (in the predictable future) any employees, own property or other factors which are analyzed in the typical studies such as the following link:
I am thinking of a Delaware or Florida LLC but the mail and shared office location will probably be in NYC. I live overseas most of the time, so will run everything online and use consultants from sources such as Elance.com, so the employee taxes shouldn't be of concern. The main concern is of conflicting state tax and sales tax issues. Any state offering big incentives for technology startups may be of interest and could weigh in the choice by compensating for tax considerations.
