We are working to engage a Japanese distributor to distribute our company's consumer product exclusively in Japan. We've agreed on the terms and have both made best efforts to draft a contract we are both happy with. We want a professional lawyer to review our agreement. In addition to general feedback, we'd also like to know:
1) What you view as our contractual liabilities
2) What you view as our contractual obligations
3) Do we have the flexibility to switch this agreement to a new entity, created specifically for the purpose of exporting our product to Japan
It is a 13 page agreement (with a few light exhibits).
