I am Franchise owner with multiple brands like Dunkin Donuts in NY and now I am renting an about 1500 to 4000 sq. ft. in a small shopping Centre but before I proceed with several brand to get an approval I need a firm Commitment Letter of Intent (LOI) from land lord for 90 days to get approval by any of ny Franchisor approves , the owner has offered me sample lease, which we may negotiate at later point and subject to which brand is willing to approve this location for their brand, Landlord has few exclusions like no Chicken in menu, etc. which is Ok and 5 car parking in front of location will be reserved for our customers only. I am at a very initial stage but I need you to prepare an LOI so that I can approach with confidence and spend my time and get location approved by any major franchisor (Dunkin, Tim Hortins, GNC, etc. etc. -A copy of lease for reference purpose & details of corporations will be provided -

Need a Legal opinion and rewriting of existing Sales Commission Agreement. The Sales contract says 50% commission of Software Sales revenue in 1st year then 20% for subsequent years. We paid 50% in 1st year (2013) and supposed to pay 20% in 2014 but Salesman demands 50% for 2014 based on 365 days calculation that falls in 2013 and 2014. We charged customers 2013 and 2014 License fees. Based on our Customer Invoice, we should pay only 20% to Salesman for 2014. The contract does not say about calendar year (or) 365 days calculation for 1st year and 2nd year revenue. Nature of the Business is selling Software to Customers and collecting License fees from Software Sales on Yearly basis. We also need to rewrite the contract to remove any ambiguity from the contract in the future.
