Assuming there is an argument to be made based on the below information, I am looking for price to submit an appeal related to the attached documentation showing penalties and interest for failure to file my LLC's 2nd year partnership return. Facts/Background: Formed an LLC as part of a start-up company I attempted to launch. This was a single member LLC in 2011, but in 2012 I took small investment from family and friends It didn't occur to me that I would need to file a partnership return given that the company has operated at a loss since 2011. Just plain ignorance, coupled with the fact that I have been working in a very stressful environment over the past few years (full time job, this start-up on the side at night, kids and family etc.). Quick Overview: A software development company based outside the US has incorporated a Delaware based LLC. The Delaware based LLC acts as a holding for 2 international subsidiaries and one US based subsidiary newly created subsidiary. Given the operation, shareholders and revenue sources are all international then there should be no federal and state taxes applied to the Delaware LLC. All US source income will be transacted to the US based Subsidiary and taxed there, before profits are recognized in the Delaware LLC. Requirements: 1) An accountant to handle filings, any form of tax fillings and communication with the state and Federal tax authorities for the Delaware LLC and the US Subsidiary. 2) The Delaware LLC is currently in the process of opening a corporate bank account however the bank has come back with the request to fill out W-8BEN-E forms. I have had a tax issue where a family member who had long ago signing authority on my corporate/personal taxes used most of my deductions for a few years to their benefit while I had serious health issues. I have been in contact with them and I believe we will be able to resolve the matter without too much turbulence. I'm looking for a tax attorney that can help me. I live in the State of Missouri (not sure how much that changes things). Myself and two other's purchased a piece of equipment together for a business. I, and another guy, wrote checks to the 3rd guy who wrote one big check for the full cost of the piece of equipment. As the year comes to an end, I'm not exactly sure how to claim it on my taxes... Am I a third of the owner? If the 3rd guy wants to write it off from his taxes, is he required to buy out my portion of the equipment? If he doesn't write it off, am I allowed to have a portion of the equipment on my assets? I have an S-Corp (which purchased the equipment) and the purchaser of the equipment is also an S-Corp. I suppose I would pay an hourly rate to discuss this matter with you. A foreign person (P) owns 100% of the stock of a US corporation (Company A). She also owns 100% of the stock of a foreign corporation (Company B). Company A had borrowed money from company B and now it's time to pay the interest. Because Company B is foreign, Company A should withhold 30% US tax on the interest payments (NRA withholding). However some time ago Company B has assigned the note including accrued interest to P (its shareholder) in lieu of dividends. Therefore the interest is now due to P individually. She resides (and is a citizen of) a country with which the US has a treaty, which provides no withholding on interest income. P has provided Company A with a form W-8BEN, claiming treaty benefits. Is it safe for Company A not to withhold any tax on these interest payments? I would like not just an opinion, but references to relevant tax case(s).
