UPDATE: To clarify, we will not use this company's technology nor sell it to others for use. Although that may be a future play, it is not the subject of this agreement. Rather, this company (our "partner") will use the tech to provide a service that involves generating certain text outputs (that's all the customer will want/receive under our contract with them). As a seller of our partner's outsourced service, we will also want to (1) "talk up" the tech (i.e. the tech they use to provide the service) as our own (since it leads to consistency and accuracy in the data), (2) ensure they don't circumvent and (3) ensure that they give us the exclusive rights to sell to these ~300 businesses. Hi We are looking for someone to write a legal Non-Disclosure Agreement (NDA) for our contractor we are hiring. Basically we are hiring a sales person outside of our office on a contract bases and want to make sure couple of things: 1) Any leads or any new customers that the sales person obtains stays with us after the sales person would leave the company. It is a general agreement that I modified for my use, and concerned that some of the modifications may not be right since I'm not a lawyer.
