Hi, I am looking for an attorney licensed in California to draw up relevant documents and/or review documents that I create. For the sake of clarity, I would like to also understand the necessity of documents being drawn out in a certain way and why or why not certain contracts or clauses are enforceable. Example: Please explain why a Non Compete Clause is not enforceable in California. What is the practical use of a Non Compete Clause, in CA? I've had suggestions of "experts" tell me to put one in and others tell me that it's worthless. Instead of a non compete, would a beefed up Non Disclosure suffice? I have two clients. One of these clients is looking to have customer service provided by the other client. I need a customer service contract written that initially charges the client no fee, but includes a clause that allows for an easy mechanism to charge a fee in the future if needed.
