I need someone to: -Review an operating agreement for a Michigan LLC. -Answer specific questions listed here and as comments in the attached. -Raise any concerns you have with the operating agreement. -Rewrite sections of the agreement based on my feedback to your answers and suggestions. There are 5 questions in the attached word document listed as comments. I kept them there because they refer to specific sections. Most of the questions revolve around wording for the equity split. The LLC will have 8 members. Seven members are contributing cash. I will be the only member working full time on the company and will receive 26% of the company in return. The 7 investing members are providing $30,000 total initially. We expect to have additional capital calls quarterly and I will not be providing cash at those times either. One other question I have that applies to the agreement as a whole: A vote threshold is specifically called out in some instances but what is the default threshold...

Hi, The Story Factory (  [obscured]  ) sells personalized children's books. We turn your little ones into heroes, by adding their name, home town and three friends' names to the story. We mainly sell our books through our reseller network which signs our license agreement before they start. Before the sign up process has been handed manually. That means, we send them the PDF agreement to sign. The print and signs two copies to us by snail mail. We sign and send one back. This will all change now. Instead we will send them a link where they will provide us with their info for the account. Last but not least on this page it will say: ""By clicking the Sign Up button, you agree to the terms of the License Agreement." All very standard solution given how things work today.
