We are a business in the sector of wellness and yoga operating globally and looking to hire an experienced lawyer for the protection of our brand. I operate a US online retail company that is about to start selling into the EU, distributing our products via an Irish fulfilment centre. I understand that we will be liable for VAT upon the goods entering Ireland as they make their way to the Irish fulfilment centre, and this VAT will be paid to the Irish tax authorities. My question is, being as we are an American company, without an established business in the EU, must we charge our EU consumers VAT and remit this VAT to an EU member state? Note we will not be exceeding any individual member states thresholds for at least the first 3 years. If you're able to answer this question and supply references to the specific parts of the legislation that relate to this answer, please let me know the cost of this project. I am in the process of buying out a pre-existing construction based LLC from a friend. I need a new operating agreement showing a transfer in ownership, with the option for him to buy back in a year down the road. I also am curious if there can be a clause in the agreement taking any past liabilities away from myself. To my knowledge and his, The LLC had only had $10,000 deposited and then payed out before the company went dormant and he started a new venture. I will also need consulting over the name change and transferring the ownership via the articles of incorporation. I am in MISSOURI.
