We are a financial advisory firm based out of the UAE and engaged primarily in M&A advisory services mostly for sell-side clients, who are mostly based in Saudi Arabia as well as some internationally, where we get mandates from clients to represent them and negotiate on their behalf with potential investors against a fixed fee and a success fee. We are signing agreements/proposals with our clients but I wanted to have a properly drafted agreement to be signed by the clients to secure our fees, mitigate risks, that can be legally enforceable if they fail to pay and that covers us from any potential liability. We don't need a lengthy agreement ? it can be a concise agreement but should be properly done from a legal point of view including all business terms and adequate legal language.
